PLATFORM TERMS OF USE
PLEASE READ THE FOLLOWING IMPORTANT TERMS AND CONDITIONS BEFORE YOU ACCESS AND USE THIS PLATFORM.
1 Status
1.1 You have been granted the right to access the Platform by your organisation or another third party (“Administrator”) with whom we have contracted to make this Platform available. If you fail to comply with these Terms of Use you may make your Administrator liable for breach of contract.
1.2 These Terms of Use are intended to explain our obligations as the provider of the Platform and your obligations as a user of that Platform.
1.3 Before you log into the Platform it is important that you read all of the terms and conditions set out in these Terms of Use. By logging onto the Platform you acknowledge that you have read and understand the terms of these Terms of Use and that you agree that you are bound by them. If, for any reason, you do not wish to be bound by the terms and conditions of these Terms of Use, you must immediately stop using the Platform and notify the Administrator of your decision to do so.
2 We May Make Changes to These Terms of Use
We may amend these Terms of Use from time to time. Every time you wish to access the Platform, please check these terms to ensure you understand the terms that apply at that time. These terms were most recently updated on the date at the bottom as you scroll down.
3 Use of the Platform
3.1 We grant you the right to access and use the Platform as permitted in these Terms of Use. This right is non-exclusive, non-transferable, non-sub licensable and is subject to your compliance with these Terms of Use.
3.2 The scope of your access rights to use the Platform is determined your Administrator.
3.3 If you are granted limited “Client User” rights, such that you have access only to data within specific modules within the Platform allocated to you by a “Super User”, you must not attempt to access data within other modules within the Platform. These rights are granted to “Super Users” only.
3.4 We may monitor and audit your use of the Platform and may immediately suspend or withdraw or restrict your access to the Platform in case of any attempted or actual use of the Platform outside the scope of use granted to you.
3.5 You must only use the Platform for internal business and professional purposes in accordance with these Terms of Use.
4 Acceptable Use
4.1 As a condition of these Terms of Use, you will not access, store, distribute or transmit any viruses, or any documentation or other material during the course of your use of the Platform that:
(a) is unlawful, harmful, threatening, defamatory, obscene, infringing, harassing or racially or ethnically offensive;
(b) facilitates illegal activity;
(c) depicts sexually explicit images;
(d) promotes unlawful violence;
(e) is discriminatory based on race, gender, colour, religious belief, sexual orientation, disability; or
(f) is otherwise illegal or causes damage or injury to any person or property.
4.2 You will comply with all applicable laws and regulations with respect of your use of the Platform.
4.3 You will not (and will not attempt to nor allow any third party to or attempt to):
(a) de-compile, reverse compile, disassemble, reverse engineer or otherwise reduce to human-perceivable form the whole or any part of the Platform except as may be allowed by any applicable law which is incapable of exclusion by these Terms of Use between us and you;
(b) attempt to copy, copy, modify, duplicate, create derivative works from, frame, mirror, republish, download, display, transmit, or distribute all or any portion of the Platform;
(c) access all or any part of the Platform in order to build a product or service which competes with the Platform;
(d) use the Platform to provide services to third parties or otherwise demonstrate services to third parties;
(e) license, sell, rent, lease, transfer, assign, distribute, display, disclose or otherwise exploit, or otherwise make available, the Platform to any third party; or
(f) attempt to obtain, or assist third parties in obtaining, access to the Platform.
4.4 In relation to any content accessed via the Platform, you will not:
(a) copy or record any part of the content whether on computer, phone, tablet or conference screen without our prior written consent;
(b) translate, modify, add subtitles, lease, rent, loan, redistribute, sub-lease, sub-license or create derivative works from the content;
(c) provide or otherwise make available the content to any person who is not authorised to access the content;
(d) display the content on any public facing site without our written approval;
(e) attempt to obtain, or assist third parties in obtaining unauthorised access to the content; or
(f) use the content for any immoral, illegal or for any other purpose which may be considered threatening, abusive and/or harmful.
5 We May Terminate, Suspend Or Withdraw the Platform
5.1 We do not guarantee that the Platform, or any content on it, will always be available or be uninterrupted. We may suspend or withdraw or restrict the availability of all or any part of the Platform for maintenance or any other business and operational reasons.
5.2 We may suspend, without any liability to you, your use of the Platform if:
(a) you breach any of provision of these Terms of Use, in particular those relating to Use of the Platform and Acceptable Use (as set out in clauses 3 and 4 above);
(b) your act or omission places the Administrator in breach of the contract between us and your Administrator; or
(c) the contract between us and your Administrator is paused or terminated for any reason.
5.3 These Terms of Use will continue for the period of your use of the Platform, which use is subject to the terms of the contract between us and your Administrator.
6 Your Privacy and Personal Information
6.2 Your privacy and personal information are important to us. Any personal information that you provide to us will be dealt with in line with our Privacy Policy, which explains what personal information we collect from you, how and why we collect, store, use and share such information, your rights in relation to your personal information.
6.3 If you have any queries, you should contact your Administrator in the first instance.
7 You Must Keep Your Account Details Safe
7.1 To use the Platform, you must use the account created by your Administrator. If you choose, or you are provided with, a user ID, password or any other piece of information as part of our security procedures, you must treat such information as confidential and must not disclose it to any third party.
7.2 You must ensure that all user IDs and passwords required to access the Platform are kept secure and confidential. You must immediately notify us at [email protected] of any unauthorised use of your passwords or any other breach of security so that we can take appropriate steps to protect your account (such as, resetting your password) and you must take all other steps that we reasonably deem necessary to maintain and safeguard your access to the Platform including, but not limited to, changing your password on at least a monthly basis.
7.3 Without prejudice to clauses 7.1 and 7.2, if you are granted “Client User” rights, you must not access the Platform using any user ID and/or password allocated to a “Super User”, and if you are granted “Super User” rights, you must not make your user ID and/or password available to any “Client User”.
7.4 We have the right to disable any user ID or password, whether chosen by you or allocated by us, at any time, if in our reasonable opinion you have failed to comply with any of the provisions of these Terms of Use.
8 We Are Not Responsible For Websites We Link To
8.1 Where the Platform contains links to other sites and resources provided by third parties, these links are provided for your information only. Such links should not be interpreted as approval by us of those linked websites or information you may obtain from them.
8.2 We have no control over the contents of those sites or resources.
9 Intellectual Property Rights
9.1 You will have no rights in respect of any intellectual property rights subsisting in the Platform or anything else delivered to or made available to you under or in connection with these Terms of Use and you hereby acknowledge that all such intellectual property rights are and will remain vested or controlled by us (or our third party licensors).
10 Limitation of Liability
10.1 These Terms of Use are part of the contract between us and your Administrator. We have no liability to you directly under that contract or these Terms of Use.
